Griffify Studios LLC (“Griffify,” “we,” “us,” or “our”) provides the Griffify VDI website at vdi.griffify.com and its discovery questionnaire (“Site”) for general information about our managed Azure Virtual Desktop service. All information on this Site is provided in good faith but without warranty as to accuracy, completeness, or suitability for any particular purpose.

2. Questionnaire Responses and Estimates

Our discovery questionnaire collects information about your organization’s IT environment and requirements to help us understand your needs. Any pricing guidance, cost estimates, or indicative figures communicated verbally or in writing during a sales conversation are:

• Preliminary estimates only, based on the information you provide
• Subject to change upon full technical review and scoping
• Not binding until memorialized in a signed Order Form
• Exclusive of applicable taxes, third-party software licensing fees, and any in-scope Microsoft Azure consumption not explicitly included

Final pricing is always determined by a mutually signed Order Form. No statement on this Site or in any preliminary communication should be construed as a firm offer, guarantee, or commitment to provide services at any particular price.

3. Microsoft Azure Availability and Performance

The Griffify VDI service is built on Microsoft Azure infrastructure. Griffify does not control Microsoft’s data centers, Azure region availability, or Azure service-level agreements (“SLAs”). Accordingly:

• Service availability is subject to Microsoft Azure’s own uptime commitments, which Griffify passes through but cannot independently guarantee
• Azure region availability for specific SKUs, virtual machine types, or services may change at Microsoft’s discretion
• Griffify is not liable for outages, data loss, performance degradation, or service changes attributable to Microsoft Azure or any other third-party infrastructure provider
• Griffify will make commercially reasonable efforts to notify customers of planned maintenance or known Azure service events affecting their environment

4. Compliance Posture (SOC 2 / HIPAA / Other Frameworks)

References on this Site to “SOC 2-ready,” “HIPAA-capable,” or similar compliance language mean that Griffify’s platform is designed and architected with the relevant framework’s controls in mind as a stated goal and target state. These descriptions do not mean:

• That Griffify currently holds a SOC 2 Type I or Type II audit report
• That Griffify is a HIPAA-covered entity or has completed a HIPAA assessment with an independent auditor
• That any specific regulatory or contractual compliance obligation of yours is automatically satisfied by using Griffify VDI

Customers operating in regulated industries (healthcare, finance, government, etc.) are responsible for conducting their own due diligence, including reviewing Griffify’s security posture documentation (available on request), performing vendor risk assessments, and ensuring that their specific compliance obligations are met through their own programs and any applicable Business Associate Agreements, Data Processing Addenda, or other contractual instruments.

Griffify will cooperate in good faith with reasonable customer compliance review requests.

5. Third-Party Software and Licensing

Griffify VDI hosts and manages infrastructure on which customers run their applications. Unless explicitly stated in a signed Order Form, Griffify does not provide, resell, or include licenses for:

• Microsoft Windows (per-user or per-device licensing)
• Microsoft 365 (formerly Office 365) or any Microsoft 365 application
• Line-of-business applications, ERP systems, or industry-specific software
• Antivirus, endpoint detection and response (EDR), or other third-party security tools
• Any software not specifically enumerated in the Order Form

Customer is solely responsible for ensuring it holds valid, properly-scoped licenses for all software deployed within or accessed through the Griffify VDI environment. Griffify may assist with licensing configuration but does not provide licensing compliance advice. Consult your Microsoft licensing specialist, software asset management provider, or attorney for guidance.

6. No Professional Advice

Nothing on this Site or communicated by Griffify in the course of a sales engagement constitutes professional legal, financial, tax, accounting, information security, or regulatory compliance advice. Griffify is a managed IT services provider, not a law firm, accounting firm, or compliance consultant.

For decisions that require professional guidance, please consult qualified professionals including:

• Licensed attorneys for contract, regulatory, or legal matters
• Certified Public Accountants or tax advisors for financial and tax decisions
• Qualified information security professionals for security assessments and compliance certifications

• Your use of or reliance on information published on this Site
• Decisions made on the basis of questionnaire estimates or preliminary sales communications
• Compliance failures arising from reliance on compliance-posture language on this Site
• Software licensing violations arising from third-party software deployed in your environment
• Service interruptions attributable to Microsoft Azure or other third-party infrastructure

THIS LIMITATION APPLIES EVEN IF GRIFFIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

Griffify reserves the right to update this Disclaimer at any time. The “Last Updated” date at the top of this page reflects the most recent revision. Material changes affecting existing customers will be communicated in accordance with the Terms of Service.
